1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of NEXORA AI, available at nexora-ai.co.in (the "Service"). By creating an account, you agree to be bound by these Terms and our Privacy Policy. If you are creating an account on behalf of a business, you confirm you have the authority to bind that business to these Terms.

2. Description of Service

NEXORA AI is a business automation platform that connects to WhatsApp, Instagram, and Facebook Messenger to provide AI-powered auto-replies, CRM, broadcast campaigns, digital cards, and related automation tools for businesses ("Clients").

3. Account Registration & Eligibility

• •You must be at least 18 years old and able to enter a binding contract
• •NEXORA is intended for business use, not personal/consumer messaging
• •You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account
• •You must provide accurate business and contact information at signup

4. Subscription Plans & Billing

• •Free Plan — no card required, subject to the usage limits shown in-app (channels, AI replies, contacts)
• •Paid Plans (Starter, Growth, Pro) — billed monthly through Razorpay, with a free trial period shown at signup. A payment method is required to start a paid trial, but you will not be charged until the trial ends
• •Paid subscriptions renew automatically each month until cancelled
• •If a renewal payment fails, your account enters a short grace period during which you can update your payment method. If it remains unresolved, your account is suspended — AI replies, broadcasts, cards, and automations pause, but your dashboard and data remain accessible so you can fix billing
• •You may cancel at any time from Settings → Billing. Cancelling reverts your account to the Free plan immediately. See our Refund & Cancellation Policy for details
• •Prices are listed in Indian Rupees (₹) and may change with advance notice

5. Acceptable Use

You agree not to use NEXORA to:

• •Send unsolicited messages, spam, or messages to contacts who have not consented to be contacted by your business
• •Violate WhatsApp's Business Messaging Policy, Meta's Platform Terms, or Google's API Services User Data Policy
• •Send illegal, fraudulent, deceptive, hateful, or harassing content
• •Attempt to circumvent usage limits, reverse-engineer the platform, or interfere with its normal operation

You are solely responsible for obtaining proper consent from your customers before messaging them, and for complying with all messaging and data protection laws applicable to your business. NEXORA is a tool you use — we are not responsible for the content of messages you choose to send.

6. Your Data

You retain ownership of your business data, contacts, and content uploaded to NEXORA. You grant us a license to process this data solely to provide the Service (e.g., sending it to our AI providers to generate a reply). See our Privacy Policy for details.

7. Third-Party Platforms

NEXORA depends on WhatsApp, Instagram, Facebook, Google, and Razorpay to function. We are not responsible for outages, policy changes, or account restrictions imposed by these third parties. If Meta or Google revokes or restricts your connected account's access, related NEXORA features may stop working until reconnected.

8. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind. AI-generated replies may be inaccurate — you are responsible for reviewing automation behavior before relying on it for critical business communication. To the maximum extent permitted by law, NEXORA is not liable for indirect, incidental, or consequential damages, or for any loss of revenue, data, or business arising from use of the Service.

9. Termination

We may suspend or terminate your account for violating these Terms, non-payment, or misuse of the Service. You may close your account at any time; see our Data Deletion page to also request removal of your stored data.

10. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of India.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or an in-app notice. Continued use of NEXORA after a change constitutes acceptance of the updated Terms.
